In House Corporate Paralegal

UNBELIEVABLE IN HOUSE PARALEGAL POSITION!!! Our client, one of the fastest rising companies on the West Coast is looking to add a Corporate Paralegal to its legal department. Duties include: supporting the Corporate Secretary, the CFO, CEO and others in executive management, assisting with all phases of general corporate and securities law. Support the ever-changing needs of the Company with your expertise in corporate maintenance matters such as SEC filings, stock warrant and subsidiary ledgers, business organization, and contracts. Must have experience with maintenance and preparation of Section 16 reports, ’33 and ’34 Act filings, including Forms S-1, S-3, 8-K, 10-Q, and 10-K and maintaining Corporate Board Minutes books. Compliance of blue sky laws Assistance with Compliance of Sarbanes-Oxley Act. Must have 5 years experience as a paralegal, in a corporate or law firm setting. Bachelors Degree, Paralegal Certificate, or equivalent work experience is needed. General knowledge of standard corporate contracts and management review required. Ability to assess and analyze situations and determine appropriate action. Ability to prioritize multiple responsibilities and process high volumes of work in a timely and accurate manner. Ability to thrive in an environment of rapid change and easily handle shifting priorities. Self-starter with the ability to make independent decisions and the judgment to know when to seek guidance. Must possess excellent written and verbal communication skills Proficient with MS Office Suite and legal computer databases Ability to rapidly assess potential risks, potential benefits, and potential consequences of decisions Ability to handle confidential information sensitively and discreetly.
