UtilX is currently seeking a SENIOR CONTRACTS ADMINISTRATOR.



SUMMARY:



This position is responsible for assisting an internal client base by providing comprehensive Contracts Paralegal duties in various legal matters inclusive (but not limited too) contracts review, drafting, negotiation, and litigation support. With minimal supervision, work collaboratively with both inside and outside stakeholders on legal matters inclusive of contract and licensing maintenance, intellectual property, patents, etc. Being proactive and organized, having and using excellent judgment, and maintaining strict confidentiality are essential to success.



ESSENTIAL DUTIES AND RESPONSIBILITIES (Other duties may be assigned)



• Draft, assemble, and review various types of legal documentation and contracts, with some negotiation involved; provide risk analysis to the internal client(s).

• Coordinate contract review and associated processes, serving as needed as liaison between the company and the customers’ contract representatives.

• Responsible for contract administration, and maintaining tracking system for all company contracts.

• Manage contract renewal and administration, including contract filing systems (both electronic and hard-copy).

• Prepare, review, negotiate, and draft a variety of other contracts including commercial leases, marketing and partnering agreements, and other contracts as needed.

• Respond to requests for contract interpretation and resolve miscellaneous contract issues.

• Oversee execution of contracts and dissemination to the internal client groups and customers.

• Work with outside Counsel when needed.

• Respond to requests for patent maintenance from outside patent attorneys; keep patent files updated and easily available; work with Engineering on patent issues.

• Responsible for Licensing, Contractor and Business Licenses in the various cities, states, municipalities that UtilX works in; keep state-by-state grid of where we are licensed and respond if a new license is needed.

• Responsible for Insurance Certificates for customers; and making sure each year that all needed certificates are updated or deleted; also responsible for requesting Bonds when needed per a specific contract.



SUPERVISORY RESPONSIBILITIES:



None.



QUALITY RESPONSIBILITIES:



To ensure that the Legal Department activities are in compliance with Corporate quality standards.



QUALIFICATION REQUIREMENTS:



• Bachelor’s degree and Paralegal Certificate preferred (J.D. would be a big plus)

• Minimum 3 years experience performing paralegal, contracts administrator, or similar duties in a corporate law department or in a mid-size (25+ attorney) law firm (may be met by a combination of additional education and relevant experience)

• Demonstrated and verifiable transactional and contract experience (a combination of negotiation, drafting, review, and administration experience preferred)

• Excellent written and oral communication and composition skills, including spelling, grammar, proofreading and punctuation

• Proficient with MS Office software, familiarity with web-based productivity tools (e.g., intranets and portals), ability to effectively conduct legal research, and skilled in database management

• Familiarity with intellectual property matters as they pertain to contracts

• Outstanding analytical and drafting skills, with attention to detail

• Familiarity with trademark, copyright and trade secret laws

• Ability to work independently

• Ability to work with a diverse set of personalities in a team environment

• Strong results orientation and customer focus

• Ability to work efficiently, meet demanding deadlines, and balance multiple tasks in a fast-paced environment
